1. Acceptance of Terms

By installing and using Anvista AI ("the App"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not install or use the App.

2. Description of Service

Anvista AI is a Shopify app that provides:

• AI-powered natural language product search
• AI Shopping Chatbot for conversational product discovery
• Product recommendations based on semantic similarity
• "Frequently Bought Together" recommendations
• Search analytics and insights
• Theme app extensions for storefront integration

3. Eligibility

To use the App, you must:

• Have an active Shopify store
• Be at least 18 years old
• Have the authority to bind your business to these Terms
• Comply with all applicable laws and regulations

4. Subscription and Billing

4.1 Pricing Plans

• Starter Plan: Free - Up to 100 products, AI Search, Basic Analytics
• Growth Plan: $29/month - Up to 5,000 products, AI Chatbot, Advanced Analytics, 7-day free trial
• Pro Plan: $79/month - Unlimited products, Custom Training, API Access, White-label, 7-day free trial

4.2 Billing Terms

• All charges are billed through Shopify
• Subscription fees are non-refundable
• You can cancel your subscription at any time
• Cancellation takes effect at the end of the current billing period
• We reserve the right to modify pricing with 30 days notice

4.3 Free Trial

• Free trials are available for first-time subscribers only
• You will not be charged during the trial period
• Cancel before trial ends to avoid charges
• After trial, subscription auto-renews at regular price

5. User Obligations

You agree to:

• Provide accurate store and contact information
• Maintain the security of your Shopify account
• Not use the App for any unlawful purpose
• Not attempt to reverse engineer or hack the App
• Not resell or redistribute the App
• Comply with Shopify's Terms of Service

6. Intellectual Property

The App, including its AI models, algorithms, and code, is owned by Anvista and protected by copyright, trademark, and other intellectual property laws. You receive a limited license to use the App, but do not own any rights to it.

7. Data Usage and Privacy

Your use of the App is subject to our Privacy Policy. We collect and process data as described in the Privacy Policy to provide the service.

8. Service Availability

• We strive for 99.9% uptime but do not guarantee uninterrupted service
• We may perform maintenance with or without notice
• We are not liable for service interruptions
• We reserve the right to modify or discontinue features

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

• THE APP IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND
• WE ARE NOT LIABLE FOR ANY INDIRECT, INCIDENTAL, OR CONSEQUENTIAL DAMAGES
• OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID IN THE LAST 12 MONTHS
• WE ARE NOT RESPONSIBLE FOR LOST PROFITS, DATA, OR BUSINESS OPPORTUNITIES

10. Indemnification

You agree to indemnify and hold harmless Anvista, its affiliates, and employees from any claims, damages, or expenses arising from:

• Your use of the App
• Your violation of these Terms
• Your violation of any third-party rights
• Content you provide through the App

11. Termination

We may terminate or suspend your access to the App:

• If you violate these Terms
• If your Shopify store is closed
• For non-payment
• At our discretion with notice

Upon termination:

• Your access to the App will cease
• Data may be deleted after 30 days
• Subscription fees are non-refundable

12. Modifications to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes via:

• Email to your registered address
• Notice in the App dashboard
• Updated "Last Modified" date

Continued use of the App after changes constitutes acceptance.

13. Third-Party Services

The App integrates with:

• Shopify (subject to Shopify Terms of Service)
• Anthropic Claude AI (subject to Anthropic Terms)
• OpenAI (subject to OpenAI Terms)

We are not responsible for third-party services or their terms.

14. Export Compliance

You agree to comply with all export and import laws. You may not use the App if you are in a country subject to U.S. embargo or are on a U.S. government restricted party list.

15. Dispute Resolution

Any disputes arising from these Terms shall be resolved through:

• Good faith negotiation
• Binding arbitration if negotiation fails
• Arbitration conducted under AAA rules
• Individual basis only (no class actions)

16. Governing Law

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles.

17. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Anvista regarding the App.

18. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full effect.

19. No Waiver

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.

21. Shopify-Specific Terms

As a Shopify app:

• You must have an active Shopify subscription
• We access your store data via Shopify APIs
• We comply with Shopify Partner Program Agreement
• Billing is processed through Shopify
• Your relationship with Shopify is governed by their terms
